By accessing or using Tallyups ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

We reserve the right to modify these Terms at any time. Your continued use of the Service following any changes constitutes acceptance of those changes.

2. Description of Service

Tallyups is a receipt management application that helps you:

• Automatically scan and extract receipts from your email
• Organize and categorize your receipts
• Match receipts to financial transactions
• Generate expense reports
• Store receipt images securely in the cloud

3. Account Registration and Security

To use Tallyups, you must:

• Authenticate using a valid Google account or Apple ID
• Grant the necessary permissions for the Service to function
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access

You are responsible for all activities that occur under your account.

4. Google API Services

Tallyups uses Google API Services to access your Gmail account. By using our Service, you also agree to be bound by Google's Terms of Service.

Our use of Google data is governed by our Privacy Policy and complies with Google API Services User Data Policy.

5. Acceptable Use

You agree NOT to:

• Use the Service for any illegal purpose
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Reverse engineer or attempt to extract source code
• Use the Service to process data you don't have rights to
• Share your account credentials with others
• Use automated scripts to access the Service without permission

6. Your Data and Content

You retain ownership of all data you provide to Tallyups, including:

• Receipt images and documents
• Transaction data you import
• Any other content you upload

By using the Service, you grant us a limited license to process your data solely for the purpose of providing the Service.

7. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Tallyups and is protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, or create derivative works based on our Service without express written permission.

8. Third-Party Services

The Service integrates with third-party services including:

• Google (Gmail, Contacts, Calendar APIs)
• Apple (Sign In with Apple)
• Cloudflare (image storage)
• Railway (hosting)

Your use of these services is subject to their respective terms and policies.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled maintenance
• System updates
• Technical issues beyond our control

We are not liable for any loss resulting from Service unavailability.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TALLYUPS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Damages resulting from unauthorized access to your data
• Errors or inaccuracies in receipt extraction

Our total liability shall not exceed the amount you paid for the Service in the past 12 months, or $100, whichever is greater.

You agree to indemnify and hold harmless Tallyups from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights

13. Termination

We may terminate or suspend your access to the Service:

• For violation of these Terms
• For any reason with reasonable notice
• Immediately for serious violations

You may terminate your account at any time by revoking Google/Apple access and contacting us to delete your data.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

15. Dispute Resolution

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Tallyups regarding the Service.
